To the maximum extent permitted by law, we are not obligated to review, monitor, or remove User Contributions, but we reserve the right to do so at any time and for any reason, without notice.

For consumers: The limitations of liability set out in this Section 14 apply only to the extent permitted by mandatory consumer protection laws. In particular, nothing in this Section limits Sigenergy's liability for: (a) death or personal injury resulting from Sigenergy's negligence; (b) fraud or fraudulent misrepresentation; (c) breach of the legal guarantee of conformity under Directive (EU) 2019/771 or equivalent national law; or (d) any other liability that cannot lawfully be excluded or limited under applicable law. To the fullest extent permitted by applicable law, neither Sigenergy nor any of its affiliates, licensors, service providers, employees, directors, officers, agents, contractors, or representatives shall be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, loss of data, or business interruption, arising out of or relating to:
• your access to, use of, or inability to use the Website;
• any content available through the Website;
• any products or services obtained through the Website;
• any unauthorized access to or use of our systems or your information; or
• any errors, omissions, delays, interruptions, or failures in performance.
To the extent permitted by law, Sigenergy’s total aggregate liability arising out of or relating to these Terms or the Website shall not exceed the greater of: (a) the amount paid by you to Sigenergy through the Website in the twelve (12) months preceding the event giving rise to the claim, or (b) EUR 100, provided that this cap shall not apply to claims by consumers to the extent prohibited by mandatory consumer protection laws.
Nothing in these Terms limits or excludes liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any mandatory consumer rights under applicable law.
15. Indemnification
You agree to defend, indemnify, and hold harmless Sigenergy, its affiliates, licensors, service providers, officers, directors, employees, agents, and representatives from and against any claims, liabilities, losses, damages, judgments, awards, costs, and expenses, including reasonable legal fees, arising out of or related to:
• your use of the Website;
• your breach of these Terms;
• your violation of any applicable law or regulation;
• your infringement of any third-party rights; or
• any User Contributions or other content you submit or make available through the Website.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with our defense of such matter.
16. Force Majeure
Sigenergy shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, governmental actions, labor disputes, epidemics, pandemics, telecommunication failures, power outages, cyberattacks, supply chain disruptions, or failures of third-party systems or services.
Where such an event occurs, our obligations will be suspended for the duration of the event and resumed as soon as reasonably practicable. We will notify affected customers as soon as reasonably possible. Nothing in this clause affects your statutory consumer rights under applicable law.
17. Suspension and Termination
We may suspend, restrict, or terminate your access to all or part of the Website, with or without notice, if:

• we are required to do so by law or regulatory authority; or

18. Governing Law and Jurisdiction
18.1 For consumers
This Agreement shall be governed by the laws of the Netherlands. If you are a consumer residing in the European Union, you will also benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms deprives you of the protection afforded by such mandatory provisions.
Any dispute arising out of or in connection with this Agreement may be brought before the competent courts of your place of residence or before the competent courts of Amsterdam, the Netherlands.
The European Commission provides an online dispute resolution platform (ODR) for consumers, available at https://ec.europa.eu/consumers/odr. Sigenergy does not participate in alternative consumer dispute resolution procedures but remains open to amicably resolving any concerns raised by consumers.
18.2 For business customers (non-consumers)
This Agreement shall be governed by and construed in accordance with the laws of the Netherlands. Any dispute arising out of or in connection with this Agreement shall be submitted to binding arbitration under the Rules of the Netherlands Arbitration Institute (NAI). The seat of arbitration shall be Amsterdam, the Netherlands. The arbitration shall be conducted before one arbitrator appointed in accordance with the NAI Rules. The language of the arbitration shall be English. The substantially prevailing party shall be entitled to recover its reasonable attorneys fees and costs. The arbitration award shall be final and binding and may be enforced in any court of competent jurisdiction.

We may provide notices to you under these Terms by posting them on the Website, sending them to the email address associated with your account, or by any other reasonable means.

20. Miscellaneous

20.2 No Waiver
No failure or delay by Sigenergy in exercising any right, remedy, power, or privilege under these Terms shall operate as a waiver of that or any other right or remedy.
20.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it enforceable where possible.
20.4 Entire Agreement
These Terms, together with our Privacy Policy and any other policies or terms expressly incorporated by reference, constitute the entire agreement between you and Sigenergy regarding your use of the Website and supersede all prior or contemporaneous understandings, communications, and proposals, whether oral or written, relating to the same subject matter.
20.5 Headings
Section headings are for convenience only and do not affect interpretation.
20.6 No Third-Party Beneficiaries
Except as expressly provided in these Terms, nothing in these Terms is intended to confer any rights or remedies upon any person other than you and Sigenergy.
